In view of Party A’s need to access the IoT devices provided by Party B to fulfill its business requirements, both parties, on the basis of equality, voluntariness, and fairness, have reached the following agreement regarding the access to IoT devices and related matters:

1. Device Access and Service Content

1. Device Access Scope

(1) Party B provides IoT devices of model________________, totaling______ units, for Party A’s business operations in________________ (specific application scenario).

(2) The specific technical parameters and functions of the devices are detailed in Appendix 1 “IoT Device Technical Specifications”.

2. Data Transmission Services

(1) Party B is responsible for ensuring a smooth data transmission channel between the IoT devices and the data receiving system designated by Party A, with the format, frequency, and other requirements for data transmission to be executed according to Appendix 2 “Data Transmission Protocol”.

(2) Party B shall provide necessary technical support to assist Party A in completing the device access debugging work, ensuring that the devices can transmit data normally.

3. Operational Services

(1) Party B will provide operational services for the accessed IoT devices for a period of______ years, including but not limited to daily inspections, fault diagnosis and repair, software upgrades, etc.

(2) The specific content and standards of the operational services are detailed in Appendix 3 “Operational Service Standards”.

2. Data Transmission Security

1. Data Encryption

(1) Party B shall use industry-standard encryption technology to encrypt the data transmitted by the IoT devices, ensuring the confidentiality, integrity, and availability of the data during transmission.

(2) The encryption algorithms and key management methods shall comply with relevant national laws and regulations and industry standards, with the specific encryption scheme detailed in Appendix 4 “Data Encryption Scheme”.

2. Security Authentication

(1) When the IoT devices access Party A’s system, they must pass the security authentication mechanism provided by Party B to ensure that only legitimate devices can connect and transmit data.

(2) Party B shall regularly evaluate and update the security authentication mechanism to address potential security threats.

3. Data Backup and Recovery

(1) Party B shall establish a comprehensive data backup mechanism, regularly backing up the data transmitted by the IoT devices, with backup data stored in a secure environment.

(2) In the event of data loss or damage, Party B shall be able to promptly recover the data to ensure the continuity of Party A’s business.

4. Security Incident Response

(1) Party B shall establish a security incident emergency response mechanism. Once a data transmission security incident is detected, the emergency plan shall be activated immediately, necessary measures shall be taken to handle it, and Party A shall be notified promptly.

(2) Party B shall submit a detailed incident report to Party A within______ hours after the occurrence of a security incident, including the cause of the incident, the scope of impact, the measures taken, and the subsequent improvement plan.

3. Operational Responsibility Allocation

1. Responsibilities of Party B

(1) Party B shall regularly inspect the IoT devices according to the requirements of Appendix 3 “Operational Service Standards” to ensure the normal operation of the devices.

(2) In the event of device failure, Party B shall respond within______ hours after receiving notification from Party A and complete fault diagnosis and repair within______ hours.

(3) Party B is responsible for the software upgrade of the IoT devices to ensure that the devices can adapt to the development needs of Party A’s business and technological updates.

(4) Party B shall establish operational records for the devices, detailing the operational status, maintenance records, and fault handling situations for Party A’s review at any time.

2. Responsibilities of Party A

(1) Party A shall provide the necessary network environment and related facilities for device access as required by Party B to ensure that the devices can connect to Party A’s system normally.

(2) Party A shall cooperate with Party B in the device access debugging and operational work, providing necessary support and assistance.

(3) Party A shall pay Party B the relevant fees according to the terms and methods stipulated in this agreement and shall not delay payment without reason.

(4) Party A shall properly safeguard the IoT devices and shall not disassemble, modify, or lend them to third parties without authorization.

4. Fees and Payment Methods

1. Access Fees

(1) Party A shall pay Party B a total access fee for the IoT devices of RMB______ (in words:______), which includes the device access debugging, data transmission channel setup, and the first year’s operational service fee.

(2) Party A shall pay______% of the access fee as a prepayment within______ working days after signing this agreement, amounting to RMB______ (in words:______); the remaining______% of the access fee, amounting to RMB______ (in words:______), shall be paid to Party B in a lump sum within______ working days after the device access debugging is completed and accepted.

2. Operational Fees

(1) Starting from the second year, Party A shall pay Party B an annual operational service fee of RMB______ (in words:______).

(2) The payment method for the operational fee shall be a lump sum payment to Party B by Party A before______ month______ day of each year.

3. Payment Method

(1) Party A shall pay the above fees to the bank account designated by Party B, with the account information as follows:

5. Liability for Breach of Contract

1. Liability for Late Payment

(1) If Party A fails to pay the access fee or operational fee within the time stipulated in this agreement, for each day of delay, Party A shall pay Party B a penalty of______ ten-thousandths of the overdue amount until Party A pays all outstanding amounts and penalties.

(2) If the delay exceeds______ days, Party B has the right to suspend the data transmission service and operational service of the IoT devices, and Party A shall bear any losses incurred as a result.

2. Liability for Data Transmission Security Breach

(1) If the data transmitted by the IoT devices is leaked, tampered with, or damaged due to Party B’s reasons, Party B shall be responsible for taking remedial measures and compensating Party A for all losses incurred, including but not limited to direct economic losses, loss of commercial reputation, and legal liabilities arising from data leakage.

(2) If Party B fails to fulfill the security incident response obligations as stipulated in this agreement, resulting in losses to Party A, Party B shall compensate Party A for all losses incurred.
